EDG Capital is offering a unique investment opportunity in an EVEN™ Hotel development located in the city of Alpharetta, North of Downtown Atlanta.
The private equity portion to finance the EVEN™ Hotel development in Alpharetta will consist of 2 types of preferred memberships: Class A Preferred Membership deliver more liquidity while Class B Membership provide a higher return.

Hotel Project Development $24,200,000 (aprox.)

to be financed as follows:

Class A

Preferred Membership Interests – 8% Fixed preferred return
Minimum investment amount: $125,000 –
Maximum: $500,000

Class A Preferred Membership will have a preferred return equal to an annual 8%of the capital contribution.
Payment will be made on a quarterly basis as from the date on which a Class A Member makes the contribution.

Payment to Class A Members will become a priority in relation to payments to be made to Class B Members.

After a 24-month period starting on the date Class A Members subscribe their Memberships, they will have the right to sell or offer their Member Interest to the company (preferential right to purchase).

Members must make a written request and, after six months (30th month), the company will exercise its right to acquire the member interest.

The right to sell may be exercised at any time, but will be limited to 50% of the initial capital contribution made by each Class A Member.

When the hotel is sold, the Class A Member will get its unreimbursed capital contribution together with an additional return (for that last year) equivalent to an annual 1% on the capital contribution.

There is no limit on the preset maximum amount.
Class B Membership (“Class B Interests “) shall obtain an annual prime interest rate equal to 6% of the capital contribution
This payment is subject to cash flow availability and will be made after the preferential payment of Class A Membership interests to the Members of such class.

These interests will be paid from the date on which the hotel is opened for business (“Minimum Holding Period for Class B”), calculated from the date on which the contribution was made.

The capital contribution of a Class B Member and its earnings per share will be reimbursed after the hotel is sold.
